Acceptable Use for the CENTRL Platform

Welcome to CENTRL! Your (“you” or “your”) access and use of the CENTRL service (“Service”) is subject to the following acceptable use terms (“Terms”).

You have the right to access and use the Service based on your subscription module as set forth in the subscription order form or the master services agreement. For some of our Services, you can sign-up for a trial for a limited time and as authorized by our sales department. For such trial period you are being granted access solely for the purposes of evaluating and to internally test the Service. During such time, along with these Terms, the master subscription agreement, available at /legal/master-subscription-agreement/ shall also apply to your access and use of the Service. At the end of the limited trial period, you must subscribe to the Services and pay the fees for the Services. If you do not subscribe to the Services, your account will be deactivated.

You must provide accurate and complete information during the registration process. You must use your and your entity’s true and accurate name when registering for the Service. You must also keep the information that you provide up to date. You are responsible for maintaining the confidentiality of your login information and are responsible for any and all activities that occur under your account. You agree and acknowledge that your account may only be used by one person and that you will not share your account login with other people.

You understand and agree that you are solely responsible for maintaining compliance with applicable laws & regulations and should leverage the modules in the CENTRL Services to support your own programs. You affirm that you are more than 18 years of age and are fully able and competent to abide by and comply with these Terms.

You may upload or provide materials or information in connection with your use of the Services. You agree not to upload or provide information or otherwise post, transmit, distribute, or disseminate through the Services any material that: facilitates or encourages a violation of any law or regulation by others; impersonates or invades the privacy of another; infringes the rights of any third party, including intellectual property, business, contractual and fiduciary rights; or other illegal activities; or interferes with the functioning of the Service. You may not store or transmit any information that contains or is used to initiate a denial of service attack, software viruses or other harmful or deleterious computer code, files or programs such as Trojan horses, worms, time bombs, or spyware.

You agree not to use the communication tools provided in the Service for any unlawful activity or to disseminate content that may be offensive to any other users of the Service, or material in violation of any law (including material that is protected by copyright or trade secrets).

You do not have the right to download or make any copies of the Service. You are responsible for all individuals or users you have authorized to access and use the Service. You shall not cause or permit the modification, disassembly, decompilation or reverse engineering of the Service or otherwise attempt to gain access to the source code to the Service. You may not modify, adapt, translate or create derivative works based on all or any part of the Service. You shall not take any action that is inconsistent with the ownership of the CENTRL Services. You agree that you do not have any right of ownership in or to the CENTRL Services other than the right to use the CENTRL Services during the term of your subscription.

You understand that once you have registered with us, we may choose to send you communications regarding the Services using electronic means. If we send any communications, notices, or other required information, it will be to your e-mail, which you provided when you registered for the Service. Notices that are sent by e-mail to you will be deemed given and received when the e-mail is sent.
